KEITH J. KANOUSE has over 23 years of experience in franchising. He is the author of 3 books and co-author of 2 others. He has been active with the International Franchising Committee of the International Bar Association, the International Franchise Association, the American Franchisee Association and the American Association of Franchisees and Dealers (AAFD). He is currently a member of AAFD's Board of Directors, a member of its Executive Committed, Corporate Secretary, Chair of its Fair Franchising Standards Committee and a member of the Steering Committee of AAFD's Legaline.

While Mr. Kanouse has experience in representing foreign franchisors entering the U. S. market and in representing U. S. franchisors in franchising internationally, his primary emphasis internationally is in representing foreign investors, along with the foreign investor's local counsel, in negotiating the purchase of international master franchising rights or joint venture arrangement. His knowledge and experience of the U. S. franchisor's perspective gives him an advantage in representing the foreign investor.

It is vitally important for a prospective foreign master franchisee and/or joint venture partner of a U. S. franchisor to assemble a team of professional advisors to protect the foreign investor's interest. These advisors should include a U. S. attorney experienced in international franchising from both a franchisors's perspective as well as a franchisee's perspective. Other team members should include an attorney experienced in franchise law in the country in which the foreign investor's franchise and/or company-owned units will be located, as well as an accountant or other tax advisor. Mr. Kanouse would be a valuable member of this team.

Mr. Kanouse's books include:

1. Guide to Understanding an Offering Circular and Negotiating A Franchise Agreement (1996). Published by Professional Press.

2. Guide To Negotiating A Business Lease (1996). Published by Professional Press.
